FOCPL Annual Meeting of the Membership DRAFT Minutes from the Meeting of December 7, 2013

The meeting was called to order at 2:10 p.m. by Board President Janet Flowers. A quorum was present.

Janet welcomed the Friends, and noted the many accomplishments of the organization this year. She read a note from the Orange County Public Schools thanking the Friends for the book donations to elementary school libraries following the Spring and Fall Used Book Sales. Janet also gave a special thanks to newsletter designer Josh Walker for making the recent newsletters look so professional.

Bylaws: Robin Bedingfield, Chair of the Bylaws Committee, presented the recommended changes to Articles IV and IX: These changes had already received tentative approval from the Board. The membership had no questions and APPROVED the changes as recommended. (M Robin Bedingfield / S Marcia Cameron)

Financial Reports: Mark Smith, Treasurer-Elect, presented the January - November report. December's financial report will be available in January. Mark showed that 2013 was a "net even" year for the Friends - Our major purchase was a third automated check-out station, as requested by the staff. He noted our sizeable investment in risk adverse funds through the Triangle Community Foundation. The Financial Report was APPROVED by Acclamation.

Nominating Committee: Erin Shepherd, Chair of the Committee, presented a short bio on each of the Board's nominees for the four 2014 vacancies. Linda di Gangi, Tommy McNeill, Vanessa Shortley and Tori Williams Reid were APPROVED by Acclamation and welcomed to the leadership of the Friends.

Updates: Erin updated the membership on the current status of the Pavers Fund Raiser. She said that this is the first major fundraiser the Friends have conducted in several years, and requested members consider donating a paver in memory or in honor of a loved one or a special occasion. The fund raiser runs through December 20th.

Farewell: Janet thanked Erin for her very proactive approach to advertising the paver project, then thanked the Board members who will be remaining on the Board for their participation in the Ongoing and Spring/Fall Used Book Sales. She then thanked those Board members who are leaving the Board - Erin Shepherd, (Vice President and nominating Committee Chair,) Sandy Gerstner (Treasurer,) and Robin Bedingfield, (Secretary) for their service to the Friends.

Program: Janet introduced local author John Claude Bemis, 2013 Piedmont Laureate. John entertained and informed with his stories of growing up in rural Pamlico County with a love of folk lore and folk music. He talked about the sources of his inspiration in writing for children and teens, incorporating folk magic with American myths and legends. The Friends thanked John for his presentation and wish him success with his newest novel!

Door Prizes: Janet drew ticket numbers for the door prizes. Tommy McNeill, Debbie Simmers, Vanessa Shortley, Josh Walker and Suzanne Vergara were all winners!

All business being completed, the meeting ADJOURNED at 3:14 p.m.

FOCPL Board of Directors DRAFT Minutes from the Meeting of December 7, 2013

Present: Bill Barrows, Marcia Cameron, Chris Holaday, Tommy Mc Neill, Vanessa Shortley, Laura Simmons, Mark Smith, and Tori Williams Reid. Absent: Linda di Gangi. A quorum was present.

The meeting was convened by Mark Smith at 3:20 p.m. in the library's large conference room. The stated purpose of the meeting was three-fold: 1. To introduce 2014 Board members to each other; 2. To elect officers for the coming year; and 3. To select dates and times for the coming meetings.

After introductions were made, elections were held. Nominations were made and votes taken in the following order: Treasurer: Mark Smith, who has served for the past year as Treasurer-Elect, was APPROVED by Acclamation. Treasurer-Elect: Linda di Gangi (not present,) had expressed an interest in this position. She was nominated and ELECTED. The new Secretary collected contact information on the other new Board members, to facilitate general communication and the scheduling of meetings. The 2013 Secretary handed her successor a CD of her files of minutes and governing documents.

As the new President, Tommy thanked Janet and her Board for all the work they did for the Friends in 2013 and past years. He encouraged off-going Board members to remain involved with all activities of the Friends.

The first meeting of the 2014 Board was set for Wednesday, January 8th, at 6:00 p.m. As President, Tommy will work with the library staff to reserve either the large conference room or the staff conference room for scheduled meetings. All business being concluded, the meeting was adjourned at 3:28 p.m.
